Terms of Service

Preamble

These Terms of Service (hereinafter "TOS") govern access to and use of the "FBA SELLER EXPERTS" platform (hereinafter "the Service"), published by FBA SELLER EXPERTS LLC, a Limited Liability Company registered in the State of Delaware (United States).

By creating an account and checking the acceptance box of these TOS during registration, you acknowledge having read and unreservedly accepted all the stipulations below. If you do not accept these terms, you must not use the Service.

The Service is exclusively intended for professional use (B2B). Each user warrants acting in the course of their commercial, industrial, artisanal, or liberal activity.

Definitions

"Service": all modules, features, and content accessible through the FBA SELLER EXPERTS platform.

"User": any natural or legal person with a valid account using the Service in a professional capacity.

"User Content": any data, document, image, or information imported or created by the User via the Service.

Access to the Service

Access to the Service requires creating an account with personal and confidential credentials. The User is responsible for the security of their credentials and for all activity carried out through their account.

Registration is validated after express acceptance of these TOS via the checkbox provided for this purpose (clickwrap). This acceptance is recorded and timestamped in your account.

FBA SELLER EXPERTS LLC reserves the right to refuse access to the Service to anyone who does not comply with these TOS or who uses the Service for unlawful purposes.

User Obligations

The User undertakes to use the Service in accordance with the laws and regulations applicable in the jurisdictions where they operate.

The following is strictly prohibited:

• Copying, reproducing, scraping, decompiling, disassembling, or reverse engineering all or part of the Service.

• Using automated systems (robots, spiders) to extract data from the Service.

• Transmitting unlawful, fraudulent, or infringing content.

• Reselling, renting, or sublicensing the Service to third parties without written authorization.

The User remains solely responsible for the accuracy of data entered into the modules (simulator, compliance, labels, etc.) and for their compliance with local regulations.

Use of Artificial Intelligence

The Service includes artificial intelligence modules (AI Experts). Responses generated are for informational purposes only and do not constitute certified professional advice. The User must have such advice verified by a qualified human expert before making any decision.

Requests sent to AI services are processed in real time. FBA SELLER EXPERTS LLC does not retain these requests beyond the time necessary to generate the response. User data is never used to train or improve third-party AI models.

Subscription and Payment

Subscriptions are managed by a PCI-DSS Level 1 certified payment provider. Prices are exclusive of tax and vary according to the chosen plan (Pro, Elite, Premium) and duration (monthly, quarterly, semi-annual).

The subscription automatically renews by tacit agreement for the same duration, unless the User cancels before the renewal date. Cancellation is made from the personal dashboard and takes effect at the end of the current period. No refund is due for the period already commenced.

As the Service is exclusively B2B, the statutory withdrawal right provided by consumer law does not apply.

In the event of a declined payment, access to the Service may be suspended without notice. Bank fees remain the responsibility of the User.

Intellectual Property

The entire Service (source code, interface, trademarks, logos, algorithms) is the exclusive property of FBA SELLER EXPERTS LLC and is protected by copyright and trademark law in the United States and internationally.

The User remains the owner of their User Content. They grant FBA SELLER EXPERTS LLC a simple, non-exclusive license limited to what is strictly necessary for the performance of the Service (hosting, display, processing).

Limitation of Liability

FBA SELLER EXPERTS LLC provides the Service "as is" and does not guarantee that it meets all the specific needs of the User. To the fullest extent permitted by applicable law, the liability of FBA SELLER EXPERTS LLC is limited to the total subscription fees paid by the User during the twelve (12) months preceding the event giving rise to the claim.

This limitation applies to any claim, whether based on contract, tort (including negligence), product liability, or any other legal theory, including non-contractual liability within the meaning of European Directive 2024/2853 (Product Liability Directive).

Under no circumstances shall FBA SELLER EXPERTS LLC be liable for indirect or consequential damages such as loss of data, loss of profit, loss of customers, or any damage resulting from decisions made on the basis of information provided by the Service.

The User acknowledges that the compliance, FBA simulator, Gap Hunter, and AI Expert modules cannot replace the advice of qualified professionals and assumes sole responsibility for the risks associated with their use.

Service Level Agreement (SLA)

FBA SELLER EXPERTS LLC undertakes to maintain monthly Service availability of 99.5%, excluding scheduled maintenance announced at least 24 hours in advance.

In the event of a security incident affecting User data, FBA SELLER EXPERTS LLC will notify the User within a maximum of 72 hours in accordance with the GDPR.

FBA SELLER EXPERTS LLC reserves the right to interrupt the Service without notice in the event of force majeure or imminent threat to system security.

Termination and Suspension

The User may terminate their subscription at any time from their personal dashboard, with effect at the end of the current period.

FBA SELLER EXPERTS LLC reserves the right to immediately suspend or terminate, without notice or compensation, a User's account in the event of:

• Substantial breach of these TOS.

• Fraudulent or unlawful use of the Service.

• Attempted copying, reverse engineering, or unauthorized extraction of data.

• Non-payment of subscription fees.

Upon termination, User data will be permanently deleted within 30 days in accordance with our Privacy Policy.

Governing Law and Jurisdiction

These TOS are governed by the laws of the State of Delaware (United States).

For Users residing in the European Union, the mandatory protective consumer law provisions of their country of residence remain applicable.

Any dispute shall be subject to the exclusive jurisdiction of the courts of New Castle County, State of Delaware, subject to applicable mandatory provisions.

Changes to the TOS

FBA SELLER EXPERTS LLC reserves the right to modify these TOS at any time. Changes will be notified to the User by email or via the Service at least 30 days before they take effect. The User may cancel without charge before that date if they do not accept the new terms. Continued use of the Service after the effective date constitutes acceptance of the changes.
